2. Services
Overhaul Ecom provides ecommerce consulting, store setup, product research, marketplace growth, paid advertising management, brand identity, and Done-For-You store management services. The specific scope of services for each client is defined in individual project agreements, proposals, or onboarding documents.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.
3. Payment Terms
Payment terms are specified in your individual service agreement. General terms include:
- One-time project fees are due as specified — typically 50% upfront and 50% upon delivery or completion.
- Monthly retainer services are billed at the beginning of each billing cycle.
- All fees are non-refundable unless otherwise specified in your service agreement.
- Late payments may result in suspension of services until outstanding balances are cleared.
- Prices are subject to change with 30 days' written notice for ongoing services.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete, and timely information required for your project
- Respond to requests for input, approval, or feedback within agreed timeframes
- Ensure you have legal rights to any content, images, or materials you provide
- Maintain valid accounts and subscriptions for platforms we manage on your behalf
- Comply with all applicable laws, including consumer protection and advertising regulations
- Not use our services for illegal, deceptive, or harmful business activities
5. Intellectual Property
Upon full payment, all deliverables created specifically for your project (store designs, brand assets, written content) become your property. We retain the right to showcase completed work in our portfolio unless you request otherwise in writing.
Our proprietary methodologies, tools, templates, and processes remain the intellectual property of Overhaul Ecom at all times.
6. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the engagement. This obligation survives the termination of our working relationship for a period of 2 years.
7. Disclaimer of Warranties
Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the outcomes of ecommerce businesses or the results of advertising campaigns. Ecommerce results depend on numerous factors outside our control, including market conditions, platform algorithm changes, and client execution.
We do not guarantee specific revenue targets, sales volumes, or return on ad spend. Our case studies and testimonials represent individual results and are not guarantees of similar outcomes.
8. Limitation of Liability
To the maximum extent permitted by law, Overhaul Ecom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, arising from your use of our services.
Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.
9. Termination
Either party may terminate ongoing services with 30 days' written notice. For one-time projects, termination by the client after work has commenced may result in partial payment obligations for work completed. We reserve the right to terminate services immediately if you violate these Terms or engage in fraudulent or illegal activity.
10. Third-Party Platforms
Our services often involve third-party platforms including Shopify, Meta, Google, Amazon, and others. We are not responsible for changes to these platforms' policies, algorithms, fees, or terms of service that may affect your business. You are responsible for maintaining compliance with all platform terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
12. Changes to Terms
We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. We will provide reasonable notice of material changes.
